MECHWARRIOR ONLINE CONTEST RULES

BEFORE ENTERING INTO ANY MECHWARRIOR ONLINE CONTEST (IN EACH INSTANCE, THE “CONTEST”), YOU MUST READ THESE CONTEST RULES (THE “CONTEST RULES”), AND BY SO ENTERING INTO THE CONTEST, YOU ACKNOWLEDGE, AGREE AND ACCEPT THAT YOU ARE BOUND BY THE CONTEST RULES.

No purchase or payment is necessary to enter or win a prize. The purchase of any good or service will not increase your chance of winning. The Contest is void where prohibited or restricted by applicable law, and residents of any such jurisdiction are ineligible to participate in the Contest.

These Contest Rules, which expressly incorporate the Privacy Policy at http://mwomercs.com/privacy, as the same may be amended from time to time (“Privacy Policy”), the Terms of Use at http://mwomercs.com/terms, as the same may be amended from time to time (“Terms of Use”), and those terms set out in the mwomercs.com forum posting specific to the Contest (the “Contest Post Terms”), are a legally binding agreement by and between you and the Sponsors (as defined below) and govern your participation in the Contest. As set out in the Privacy Policy, you understand and agree by providing personal information through entering this Contest that such personal information will be transferred and made use of in and outside of Canada for the purposes of facilitating all Contest-related and the Sponsors’ business-related activities (including, for greater certainty, marketing of MechWarrior Online and future contests) and also for complying with applicable foreign and domestic laws. Only individuals who can form legally binding contracts under applicable law may enter a Contest. Your entry into the Contest will be deemed to be a representation that either ( a ) you are 18 years of age or older or the age of majority in your state, province or territory of residence at time of entry, or ( b ) you are 13 years of age or older and have received the consent of a parent or guardian to enter into the Contest. Children under the age of 13 are expressly prohibited from entering the Contest.

1. Sponsor.
The Contest is sponsored by Piranha Games Inc. located at #2065 - 88 W. Pender Street, Vancouver, British Columbia, V6B 6N9, Canada (the “Sponsors”).

2. Key Dates.
The key dates for the Contest, including the beginning of the Contest, end of the Contest, determination of winner or winners and delivery of prizes, are set out in the Contest Post Terms.

3. How to Enter.
Details on how to enter the Contest, including the location of the entry form (the “Entry Form”) for the Contest, are set out in the Contest Post Terms.

4. Prizes.
Prizes will vary between specific Contests, as set out in the Contest Post Terms for each such Contest, and may include in-game prizes, MechWarrior Credits, C-Bills, or physical prizes (each, a “Prize”). Retail value for a Prize, where such retail value may be determined, is set out in the Contest Post Terms. Certain Prizes may carry no retail value, or, in the case of C-Bills, equivalent retail value may not be determinable. All Prizes will be awarded as indicated in the Contest Post Terms and are not transferable. No substitutions or cash equivalents are permitted, and no requests for same need be honoured by the Sponsors. Notwithstanding the foregoing, the Sponsors reserve the right to substitute a prize of equal or greater retail value to any given Prize in the event of unavailability, technical difficulty or in otherwise their reasonable discretion.

5. In-Game Contests.
For in-game skill-based competition contests (“In-Game Contests”), the criteria for determining a winner or winners (each, in the case of in-game contests, a “Winner”) is based on in-game statistics or other calculations as set out in the Contest Post Terms.

6. Community Contests.
For contests which do not involve comparison of in-game statistics such as, but not limited to, screenshot submissions, homemade gameplay videos, and caption contests (“Community Contests”), all entries will be considered by a panel selected by the Sponsors (the “Panel”), along with any additional criteria which may be set out in the Contest Post Terms. A skill-testing question (the “Skill Testing Question”) will be sent to potential winner or winners as selected by the Panel (each, in the case of community contests, a “Winner”) in an email notice. To win a Prize, a Winner must first correctly answer the Skill-Testing Question without electronic, mechanical or any other kind of assistance and submit the correct answer to the Sponsors in the manner and by the time provided for in the Winner’s email notice. If the Winner correctly answers the Skill-Testing Question, they will be awarded the Prize. If the Winner is unable to correctly answer the Skill-Testing Question, or does not respond, he or she will be deemed to have forfeited the Prize.

7. Odds of Winning.
In-Game Contests are purely skill-based and the odds of winning depend on the skill of each entrant. For Community Contests, odds of winning will depend on the quality and number of entries received in a Contest, as well as (as applicable) subjective judging in accordance with the Contest Post Terms. All Winners will be determined by the Sponsors, and all such determinations will be final.

8. List of Winners.
The list of Winners for a Contest will be posted in the MWOMercs.com forum posting specific to the Contest.

9. Sponsor Ineligibility.
Employees, independent contractors, officers, and directors of Sponsors, their affiliates and subsidiaries, and members of the Panel (if applicable for a Contest), and the immediate family members and persons living in the same household of such persons, are not eligible to participate or to win a Prize in a Contest.

10. Taxes.
The Winner will be solely responsible for the reporting and payment of any and all Federal, Provincial, state or local taxes, sales taxes, surcharges, service charges, registration, licensing, processing, insurance premiums, and handling fees, and all other costs incurred in claiming, redeeming, receiving or possessing their Prize. The Sponsors accept no responsibility for any tax implications that may arise from Prize winnings, and independent financial advice should be sought by the Winner. The Winner will and hereby does hold Sponsors harmless from liability for any failure to timely report and/or pay any taxes.

11. Contest Content.
Where a contest requires you to submit any form of content as part of the entry, or if content is generated as part of your entry, including without limitation any photo, screenshot, gameplay footage, audio recordings, caption, or story (collectively, the “Contest Content”), all such Contest Content must be your sole creative work and must not incorporate ideas or work of any other person or material that would require the consent of a third party in any jurisdiction or under any applicable law. Without limitation, none of the Contest Content will infringe or violate any trademark, copyright, publicity right, privacy or any other right of any other person or entity, under any applicable law. By submitting Contest Content, you represent and warrant to Sponsors that the Contest Content is wholly original and does not infringe upon or otherwise violate any right of any person, entity, or any law, rule or regulation. Violation or breach of these representations or warranties may subject you to penalties and damages under applicable law, and may disqualify you from the Contest. By entering the Contest, you agree that Sponsors may publish your Contest Content online, along with your name, likeness, biographical data (as entered on an Entry Form), and you hereby grant to Sponsors all right and irrevocable license to publish or use such materials in perpetuity, in any and all media anywhere in the universe, for all business purposes, including advertising or other publicity purposes, without further consideration, notice or approval.

12. General Rules.
Failure to comply with these Contest Terms, including the Terms of Use and the Privacy Policy, may result in disqualification from the Contest in the Sponsors’ sole discretion (without creating any obligation of the Sponsors to monitor participation for any particular compliance therewith). This Contest and these Contest Rules shall be at all times governed, construed and evaluated according to British Columbia law. Sponsors are under no obligation to disclose any information in respect of the contest, including the number of entries received, the number of approved entries or any other figures relating to the Contest, except as required by law or as expressly set out in these Contest Rules. Sponsors shall not be liable to any person (including Contest participants) for any delay or failure in its performance caused by circumstances beyond its reasonable control, including without limitation Internet performance issues, loss or mis-delivery of information, power outages or Acts of God.

13. Disclaimer and Limit of Liability.
SPONSORS MAKE NO (AND HEREBY DISCLAIM ALL) REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE CONTEST, ANY PRIZE OR ANY ENTRANT’S PARTICIPATION IN THE CONTEST. SPONSORS SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, COST, OR INJURY THAT ARISES FROM OR RELATES TO PARTICIPATION IN THE CONTEST, OR WINNING OR USE OF A PRIZE, INCLUDING BUT NOT LIMITED TO: (I) LATE, LOST, DELAYED, DAMAGED, MISDIRECTED, INCOMPLETE, OR UNINTELLIGIBLE ENTRIES; (II) TELEPHONE, ELECTRONIC, HARDWARE OR SOFTWARE PROGRAM, NETWORK, INTERNET, OR COMPUTER MALFUNCTIONS, FAILURES, VIRUSES OR DIFFICULTIES OF ANY KIND; (III) FAILED, INCOMPLETE, GARBLED, OR DELAYED COMPUTER TRANSMISSIONS; (IV) THE DOWNLOADING OF ANY MATERIAL IN CONNECTION WITH THIS CONTEST; AND (V) ANY OTHER CONDITION THAT MAY CAUSE THE CONTEST TO BE DISRUPTED OR CORRUPTED. THE SPONSORS RESERVE THE RIGHT, IN THEIR SOLE DISCRETION AND WITHOUT PRIOR NOTICE, TO SUSPEND OR CANCEL THE CONTEST OR ALTER THE RULES IN THE SPONSORS’ REASONABLE DISCRETION, INCLUDING, BUT NOT LIMITED TO, IF AT ANY TIME A COMPUTER VIRUS, TECHNICAL PROBLEM, OR OTHER UNFORESEEABLE EVENT ALTERS OR CORRUPTS THE ADMINISTRATION OF THE CONTEST.

14. Release.
By participating in a Contest, you hereby release and agree to hold the Sponsors and their affiliates, directors, officers, employees, representatives and agents (collectively, “Sponsor Entities”) harmless from and against any and all claims, costs, injuries, losses or damages (whether due to negligence, breach of contract, tort, or otherwise, and whether or not the possibility of such claims, costs, injuries, losses or damages could have been reasonably foreseen by the Sponsor Entities) of any kind or nature whatsoever, including death and bodily injury and property damage and claims for any direct, punitive, special, indirect, incidental or consequential damages, due in whole or in part, directly or indirectly, to ( a ) participation in the Contest, ( b ) the receipt, use or misuse of the Prize, ( c ) printing errors, clerical, typographical or other error in any materials involved in the Contest or in the offering or announcement of the Prize or in any notice, and ( d ) other errors of any kind or nature.

15. Exclusions
All contest offers are void in the Province of Quebec and wherever else prohibited by law.

16. English Language.
The parties have requested and agree that these Contest Rules and all documents relating thereto be drawn up in English / Les parties ont demandé que les règles du concours ainsi que tous les documents qui s’y rattachent soient rédigés en anglais.
