There are several posts about this explaining that it could be AV or firewall. Also people uninstalling things or even saying it is a hardware issue. After several attempts at different things I finally just closed MUMBLE and the game started fine. The issue is basically its conflicting with something else you are running.

If you are using mumble you cant use the overlay.
