I just downloaded the installation and its crashing on me. Same thing happens running the installation online.
Any help apprieciated.

The issue with the newer version message when trying to run the dxwebsetup again is that is related to the directx 9c itself. At the moment you may have downloaded an older version of the directx 9c (dxwebsetup.exe). the Dxwebsetup does not update itself. Utilize the above link. It is the entire dx 9c package. Download it, double click on it to get it started in unpacking it, ie download/directx 9c then run the setup.exe from the unpacked location. I use this when I want to ensure that any possible corrupted dx 9c files are being overwritten.
Also if you could post your dxdag it would help us figure out what is going on.
