so 450 watt PSU ..will be fine for a quad core and the 7770 GPU

Which mother board and quad core would u suggest? would the

Which motherboard would be compatible with this?

Yes, that Biostar board will work, although I'm not exactly crazy about Biostar boards, and would be willing to bet that's the reason for your problems in OC'ing.

It's just a CPU, with integrated graphics(not a seperate video card). Unlike the old days, integrated graphics is now actually inside of a cpu, not on a motherboard like it used to be.

How about windows ... I need a 64 bit program right?

is the XP - 64bit good enough? or do I need the windows 7 - 64 bit?

You're going to need Windows 7, given XP is no longer supported by Microsoft, and Windows 7 as it is is far more stable and compatible with newer programs.
